Situation Vacant – Assistant Company Secretary

Job Purpose (Job Summary):
To assist the UK Company Secretary team in the provision of company secretarial services to Invesco UK Ltd and its UK subsidiaries, including overseas branches. This will include support on a number of EMEA wide projects.

Key Responsibilities/Duties:

  • Act as secretary for the regulated UK Boards (and its committees), including, but not limited to, making arrangements for the meetings, annual timetables, agendas
  • Preparation of the action and decision logs, production of Board packs and minute administration
  • Deputise in the absence of the Company Secretary for other the Boards and Committers as required from time to time
  • Act as Secretary to the bi-monthly EMEA Operations Committee and deputising at other Committees as required from time to time
  • Work closely with the Assistant Company Secretary and Legal administrator on statutory and ad hoc matters
  • Oversee and review the documentation of processes for key company secretarial activities, and their maintenance
  • Oversee and review the ,maintenance (including annual audit) of statutory records and company filings
  • Oversee and review the implementation of an efficient Authorised Signatory and Power of Attorney retention and indexing system
  • Support Senior team members on other matters as and when required, in particular in relation to impact of forthcoming regulatory changes such as the Senior Managers and Certification Regime
  • Governance projects and other departmental or firm-wide projects
  • Director changes, director training and board / committee evaluations
  • Overseeing the management committees and ensuring regular reporting to the relevant Boards
  • Assist colleagues when required in relation to information requests received from around the business
  • Assist in reviewing and updating Board and Committee Terms of Reference

Work Experience/Knowledge:

  • Minimum four years’ experience of company secretarial work in a listed company, financial services environment or similar
  • Keen interest in the financial services market and Invesco’s business
  • Ability to use entity management system as well as Microsoft office applications and adaptable to new technology solutions
  • Solid meeting/board support experience

Formal Education: (minimum requirement to perform job duties)

ICSA (or equivalent) qualified or part qualified preferred
